Terms of Use

These Terms of Use (“Terms”) form a binding agreement between you and Nigerian Petroleum Exchange (NipeX)(“NipeX”, “we”, “us”) governing your use of NipeXPRO(the “Platform”). By accessing or using the Platform you agree to be bound by these Terms.

1. Acceptance of terms

By creating an account, registering as a vendor, submitting a bid, or otherwise using the Platform, you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you are using the Platform on behalf of an organisation, you warrant that you are authorised to bind that organisation.

2. Eligibility

The Platform is intended for businesses and authorised representatives participating in the Nigerian upstream oil & gas supply chain — including vendors, operating companies, and buyers. You must be at least 18 years old and legally capable of entering into contracts. Vendor registration additionally requires a valid CAC registration and the supporting documentation set out during the registration journey.

3. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Multi-factor authentication (MFA) is mandatory and must remain enabled. The Platform operates three distinct login portals — Vendor, Buyer, and Admin — and you must access the Platform only through the portal that corresponds to your role. Notify us immediately at customersupport@nipex.com.ng if you suspect any unauthorised access.

4. Acceptable use

You agree not to:

• submit false, misleading, fraudulent, or forged information or documents;
• attempt to gain unauthorised access to the Platform, other accounts, or tender data, or interfere with its security or availability;
• engage in collusion, bid-rigging, bribery, or any conduct that undermines the integrity of a tender; or
• copy, scrape, or redistribute Platform content except as expressly permitted.

5. Tendering and bidding

Tender opportunities are published by operating companies through the Platform. Registration, prequalification, or submission of a bid does not guarantee invitation to tender, shortlisting, or award. All evaluations and awards are made by the relevant operating company in accordance with its own procurement rules and applicable Nigerian Content requirements. NipeX provides the Platform that facilitates these processes but is not a party to any resulting contract between a vendor and an operating company and gives no warranty as to the outcome of any tender.

6. Intellectual property

The Platform, including its software, design, trademarks, and content, is owned by or licensed to NipeX and is protected by applicable laws. We grant you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You retain ownership of the documents and data you upload and grant us a licence to host and process them to deliver the service.

7. Limitation of liability

The Platform is provided on an “as available” basis. To the maximum extent permitted by law, NipeX shall not be liable for any indirect, incidental, or consequential loss, loss of profit, business, or anticipated savings, or for any loss arising from your reliance on tender information or the conduct of other users. Nothing in these Terms limits liability that cannot be excluded under Nigerian law.

8. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of Nigeria.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
